Payhawk Referral Program Terms & Conditions

These Terms and Conditions ("Terms") govern the relations between Payhawk, You, Your Referee, and Cello (as defined below). By participating in this Campaign, You and the Referee agree with the Terms.

WHEREAS:

Payhawk is engaged in providing corporate expense management solutions. By referring someone to this program, you believe that their participation in this campaign is in the best interest of both referee and yourself
Payhawk administers this Campaign, including the tracking of Referrals and the payment of Rewards, through a third-party referral platform operated by Cello (as defined below). Your participation in the Campaign therefore also requires you to register for, and agree to the terms of, the Cello Platform.

1. Definitions

As used herein, the following terms shall have the meanings set forth below:

1.1. “Campaign” means this Payhawk Referral Program in accordance with these present Terms.

1.2. "Customer" shall mean legal entities, and individuals working within or for the latter, which are using the Product.

1.3. “Party” shall mean You, Payhawk, the Referee and, where applicable, Cello. “Parties” shall mean any two or more of the latter together.

1.4. “Payhawk” shall mean Payhawk Limited, having its registered office address in Chancery House, 53-64 Chancery Lane, London WC2A 1QS and registered under company No 11747263, and all its subsidiaries and related companies.

1.5. "Product" shall mean Payhawk’s software products and services.

1.6. “Referee” shall mean the corporate entity You refer to Payhawk as part of the Campaign and which was not a prospect, before your Referral and has successfully completed the Payhawk’s approval process, including on behalf of its affiliates / group entities. A Referee shall include any and all affiliates / group entities that are part of a single Pricing Schedule.

1.7. “Referrer” or “You” means you, as an existing Customer of Payhawk (including your employees).

1.8. “Reward” means a cash reward with a nominal value of 1,000 EUR (one thousand euros), or a comparable amount in other currencies, paid directly to You via the Platform (as defined below), subject to your registration of a valid payment method within your Cello User Account and in accordance with Cello’s Terms of Service;

1.9 “Referee reward” Your Referee shall also receive a reward - one Monthly Fee for free. If the Referee has a trial period, the Reward and the Referee reward shall be granted only after the trial period has ended.

1.10. "Territory" shall mean the following described geographic area: EU, USA, EEA and the UK.

1.11. “Terms & Conditions” shall mean Payhawk’s Terms & Conditions, as available on Payhawk’s website https://payhawk.com/terms;

1.12. "Cello" means the referral management platform operated by Powerplay GmbH (trading as Cello), engaged by Payhawk to administer the Campaign, including the tracking of Referrals and the payment of Rewards to Referrers. Cello’s own Terms of Service, available at https://cello.so/terms-of-service/, govern Your use of the Platform and apply in addition to these Terms.

1.13. "Platform" means the Cello online platform through which you register to participate in the Campaign, submit Referrals, track their status, and claim your Reward.

2. Participation and Terms:

2.1. In order for You to participate in the Campaign, You must be an active Customer of Payhawk and register for a Cello User Account in order to submit Referrals and claim Rewards;

2.2. You are entitled to refer as many Referees as You wish. There will be no limit to the amount of Rewards You can receive. However, only one Reward per Referee can be awarded.For the avoidance of doubt a Referee shall include any and all affiliates and/or group entities.

2.3. First in time, first in right - In case several Customers have referred the same Referee to Payhawk, only the first Customer to refer to the Referee will receive a Reward.

2.4. You should be mindful of the legal and business interests of your Referees and not intrude or spam the companies and the relevant contacts therein you would like to refer.

2.5. You may use your best efforts to promote the Product and or the Payhawk brand. However, You shall not have the authority to negotiate, make any commitments or in whatsoever way bind Payhawk.

2.6. Payhawk will meet or conference and negotiate independently with the referred prospects the terms of the relationship. You may not object to any decisions made by Payhawk regarding the terms or conditions of a particular relationship entered into or not after a referral. Further, the Company will have sole discretion to enter into or not to enter into an arrangement with a potential customer.

2.7. You understand and agree that for You / Your Referee to participate in the Campaign, Payhawk shall process your / your Referee’s personal data, and you further undertake to lawfully obtain Your Referee’s personal data for the purposes of this Campaign and to share the latter with other Payhawk subsidiaries and with Cello.You further undertake to inform your Referee, prior to submitting their details, that their personal data will be processed by Payhawk and shared with Cello and other Payhawk subsidiaries for the purposes of this Campaign, and to obtain any consent required under applicable data protection law before doing so
In the course of the Campaign, Payhawk shall process the following categories of personal data related to Your Referee:

a) First name;
b) Last name;
c) Workplace;
d) Corporate e-mail address;
e) Corporate phone number;

Payhawk shall share such personal data with Cello for the purposes of administering the Campaign, tracking Referrals, and disbursing Rewards. Cello shall process such data in accordance with applicable data protection law and its Data Processing Agreement, available at https://cello.so/data-processing-agreement/.
The personal data in question shall be stored for the duration of the Campaign. Part of this data may be later processed during and for the purposes of the account opening procedure. Additional information on how we process personal data may be found at our Privacy Policy.

2.8. Payhawk may, at its sole discretion, amend, suspend or terminate these Terms and/or suspend or terminate the Campaign, without prior notice. Nevertheless, Payhawk will always hold the latest version of these Terms publicly available on its website. Any Referral submitted, and any Reward earned, before the effective date of such amendment, suspension or termination will remain valid and payable in accordance with the Terms in effect at the time of submission, unless Payhawk reasonably suspects fraud, abuse, or a breach of these Terms.

2.9. By registering for a Cello User Account, You additionally agree to be bound by Cello’s Terms of Service (available at https://cello.so/terms-of-service/) and Cello’s Privacy Policy. In relation to the technical operation of the Platform, the tracking of Referrals and the payment of Rewards, Cello’s Terms of Service shall prevail; in relation to Your relationship with Payhawk as a Customer, and Your eligibility to participate in the Campaign, these Terms shall prevail.

2.10. You represent and warrant that:

(a) neither You nor the Referee is a government body, government-owned or government-controlled entity, or public international organisation, and no individual involved in the Referral is a government official, political party official, or candidate for public office;
(b) You have disclosed the existence and estimated value of the Reward to the Referee before the Referee engages with Payhawk;
(c) accepting the Reward does not breach any policy of Your employer or any law applicable to You.

Payhawk reserves the right to withhold, suspend, or claw back any Reward, and to disqualify any Referral, where it reasonably suspects a breach of this Section 2.10 or of any applicable anti-bribery or anti-corruption law.

3. No partnership clause

Nothing contained in this Terms shall be construed to:

3.1. Give either party the power to direct and control the day-to-day activities of the other;

3.2. Constitute the parties as joint ventures, partners, co-owners or otherwise;

3.3. Allow Referrers to create or assume any obligation on behalf of Payhawk for any purpose whatsoever. Referrers shall be responsible for paying all income taxes and other taxes charged in its home country, which may be due pursuant to and in relation with the Rewards.

3.4. Create any employment, agency or partnership relationship between You and Cello. Cello’s relationship with You, in respect of the tracking of Referrals and the payment of Rewards, is governed exclusively by Cello’s Terms of Service.

4. Referral and Allocation

4.1. Referees must:

  • Not have been an active Customer of Payhawk or an active sales prospect at the time of the Referral;
  • Receive a personal referral link, sent by the Referrer;
  • Follow the link and submit a form with their data (as listed in Section 2.7) for the first time;
  • Be successfully onboarded and verified in accordance with Payhawk’s approval process;

4.2. Allocation

Once Your Referee has been successfully onboarded and verified in accordance with Payhawk’s approval process, Your Reward will become claimable via your Cello User Account. Rewards are tracked and disbursed by Cello in accordance with Cello’s Terms of Service, and paid out using the payment method You specify within Your Cello User Account. Payhawk reserves the right to withhold or claw back any Reward paid in connection with a Referral that is later found to be fraudulent, or otherwise in breach of these Terms.

Please note that certain technical requirements (for example, disabling ad-blockers and enabling cookies) must be met for a Referral to be traceable by Cello. Payhawk is not responsible for Rewards that cannot be tracked or claimed as a result of such technical limitations on Your or Your Referee’s devices.

5. Representations and Warranties

5.1. Both Payhawk and You represent and warrant that: (1) it has the right to enter into these Terms and the right to grant the rights herein and it is not a party to any Terms, contract, or understanding that would prevent, limit or hinder its performance of these Terms.

5.2. Payhawk cannot make any representation, warranty, guarantee or an indication on the expected conversion rate and that Your Referees would comply with all regulatory and contractual requirements to become a Payhawk client.

5.3. Cello, and not Payhawk, is solely responsible for the operation of the Platform, the tracking of Referrals, and the disbursement of Rewards. Payhawk makes no representation or warranty regarding the availability, functionality, or performance of the Platform, which is governed by Cello’s own warranties and liability terms set out in its Terms of Service.

6. Language

The present Terms are published on our website in English and any translation is a courtesy translation only.

7. Miscellaneous

7.1. With respect to any matters not covered in these Terms the Terms & Conditions will apply accordingly. In case of discrepancies between the Terms & Conditions and these Terms, the latter will prevail. Matters relating specifically to the operation of the Platform are governed as set out in Section 2.9 above. Terms not otherwise defined herein shall have the meaning ascribed to them in the Terms & Conditions.

7.2. UK micro-enterprises or small charities, as defined in the UK Consumer Duty Regulations, shall not be eligible to participate in the Campaign as Referees.

8. Rewards

Your Reward is a cash payment of 1,000 EUR (or the equivalent amount in Your local currency), paid directly to You via the Platform, subject to Your registration of a valid payment method within Your Cello User Account and in accordance with Cello’s Terms of Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Payhawk’s aggregate liability arising out of or in connection with the Campaign and these Terms shall not exceed the total value of Rewards paid to the relevant Referrer in the twelve (12) months preceding the event giving rise to the claim. Payhawk shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or business opportunity, arising out of or in connection with the Campaign.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
